3GENES distribution a.s., Verdunská 819/37, Bubeneč, 160 00, Reg. No.: 19584491, represented by Mgr. Dominik Véle, Chairman of the Board of Directors, hereby fulfils its obligation to announce that on 15 November 2024 the general meeting of shareholders of 3GENES distribution a.s. adopted a resolution in the form of a notarial deed (NZ 504/2024, N 485/2024) on the conversion of all shares of 3GENES distribution a.s.: the existing 2,000 ordinary registered shares in certificated form with a nominal value of CZK 1,000 each are converted into 2,000 ordinary registered book-entry shares with a nominal value of CZK 1,000 each.
3GENES distribution a.s. has set a period of two months from the publication of this resolution in the Commercial Bulletin (Obchodní věstník), within which shareholders are obliged to surrender their ordinary registered shares in certificated form with a nominal value of CZK 1,000 each.
3GENES distribution a.s. hereby publishes the resolution on the conversion of shares and at the same time calls on the shareholders of 3GENES distribution a.s. to surrender all their ordinary registered shares in certificated form to 3GENES distribution a.s. within two months of the date on which this resolution is published in the Commercial Bulletin.
Shares can be surrendered on working days from 9:00 to 17:00 at the registered office of 3GENES distribution a.s., Verdunská 819/37, Bubeneč, 160 00.
When surrendering the shares, the shareholder must provide 3GENES distribution a.s. with the number of the securities account kept by the Central Securities Depository (CDCP) and administered through a CDCP participant, in which the book-entry shares are to be registered.
3GENES distribution a.s. calls on shareholders to open such securities accounts.
If a shareholder does not provide the number of a securities account kept by the CDCP in which the book-entry shares are to be registered when surrendering the shares, 3GENES distribution a.s. will set an additional period of two months from the date of surrender for this purpose.
If a shareholder does not provide 3GENES distribution a.s. with the securities account number even within this additional period, ownership of the shares passes to 3GENES distribution a.s. on the day it pays the shareholder a fair price for them. If a shareholder is late in surrendering their shares, an additional period of 2 months will be set for surrendering them. Shares of 3GENES distribution a.s. that are not surrendered even within the additional period will be declared invalid, and 3GENES distribution a.s. will proceed in accordance with the law.
